Agreements and ACH Application

UNDER THE FOLLOWING TERMS AND CONDITIONS: 1. ALL CHARGES MADE BY ME OR MY REPRESENTATIVE WILL BE DUE BY THE 10TH OF THE FOLLOWING MONTH THAT THE PURCHASES WERE MADE. ALL PAST DUE INVOICES WILL BE SUBJECT TO A FINANCE CHARGE AS SET FORTH BELOW. IF MY ACCOUNT SHOULD BECOME 20 DAYS PAST DUE, IT WILL BE PLACED ON A HOLD STATUS UNTIL IT IS PAID TO A CURRENT STATUS. 2. THE FINANCE CHARGE WILL BE 1.5 % PER MONTH, ON ANY PAST DUE INVOICE, WHICH IS AN ANNUAL PERCENTAGE RATE OF 18 %. THERE WILL BE NO FINANCE CHARGES ADDED TO MY ACCOUNT IF ALL INVOICES ARE PAID BY THE 10TH OF THE FOLLOWING MONTH THAT THE PURCHASES WERE MADE. 3. IF MY ACCOUNT SHOULD BECOME DELINQUENT, AND IT BECOMES NECESSARY TO REFER THE ACCOUNT TO AN ATTORNEY FOR COLLECTION, A REASONABLE FEE WILL BE CHARGED TO MY ACCOUNT FOR ATTORNEY FEES, BUT IN NO CASE WILL BE LESS THAN $ 350.00. HOWEVER, NO SUCH CHARGES SHALL BE ADDED WITHOUT FIRST ADVISING ME IN WRITING, BY MAIL, TO MY MOST RECENT ADDRESS AS SHOWN ON SOUTHERN LIVESTOCK SUPPLY’S RECORDS, THAT MY ACCOUNT HAS BECOME DELINQUENT AND THAT DELINQUENCY PROCEEDINGS WILL BE INSTITUTED UNLESS THE ACCOUNT IS PAID IN FULL BY A SPECIFIED DATE. 4. SOUTHERN LIVESTOCK SUPPLY CO. SHALL RETAIN TITLE TO MERCHANDISE PURCHASED UNDER THIS AGREEMENT UNTIL PAID IN FULL. ANY PARTIAL OR UNSPECIFIED PAYMENT WILL BE APPLIED TO YOUR ACCOUNT AS FOLLOWS: FIRST TO ITEMS PURCHASED ON THE OUTSTANDING INVOICES IN OLDEST TO EARLIEST FASHION, AND SECOND TO UNPAID FINANCE CHARGES. 5. SOUTHERN LIVESTOCK SUPPLY CO. IS AUTHORIZED TO INVESTIGATE MY CREDIT RECORD AT ANY TIME AND REPORT TO PROPER PERSONS AND BUREAUS MY PERFORMANCE OF THIS AGREEMENT. 6. APPLICABLE TAX NOW OR HEREINAFTER LEVIED ON OR MEASURED BY THE SALE OF PRODUCT(S) IS NOT INCLUDED IN THE PRICE AND WILL BE ADDED THERETO AND PAID BY BUYER UNLESS BUYER HAS PROVIDED SELLER WITH A CURRENT AND VALID RESALE CERTIFICATE. ALL SALES WILL BE CONSIDERED TO BE TAXABLE UNLESS BUYER’S VALID RESALE CERTIFICATE IS RECEIVED BY THE SELLER.

THIS PERSONAL GUARANTEE IS INTENDED TO EXTEND TO ANY AND ALL TRANSACTIONS BETWEEN THE UNDERSIGNED AND SOUTHERNLIVESTOCK SUPPLY CO INC, WHEREVER SITUATED, FOR VALUE RECEIVED, THE RECEIPT OF WHICH IS HEREBY ACKNOWLEDGED AND IN CONSIDERATION OF YOUR ADVANCING CREDIT TO APPLICANT. 1/WE, THE UNDERSIGNED, HEREBY PERSONALLY GUARANTY THE PROMPT PAYMENT TO YOU OF ALL AMOUNTS DUE AND OWING TO YOU FROM SAID APPLICANT. EACH OF THE UNDERSIGNED AGREES THAT THE LIABILITY FOR ALL SUMS GUARANTEED SHALL BE JOINT AND SEVERAL. LIABILITY OF THE UNDERSIGNED SHALL NOT BE AFFECTED OR PREJUDICED BY THE ADDITIONAL ACCEPTANCE OF A NOTE OF EVIDENCE OF INDEBTEDNESS, THE EXTENSION OF TIME, PAYMENT ARRANGEMENTS OR OTHER INDULGENCE GRANTED TO THE DEBTOR. THE FILING OF SUIT OR THE PURSUIT OF COLLECTION OR LEGAL REMEDIES AGAINST APPLICANT SHALL NOT BE A CONDITION PRECENDENT TO THE ENFORCEMENT OF THIS GUARANTEE. SHOULD THE UNDERSIGNED CHOOSE TO TERMINATE THIS GUARANTEE, SUCH TERMINATION SHALL NOT AFFECT ANY LIABILITY OWING. THE UNDERSIGNED HEREBY AGREES TO PAY ALL COSTS AND SUCH ADDITIONAL SUMS, AS THE COURT MAY DEEM REASONABLE AS ATTORNEY’S FEES IN THE EVENT AN ACTION IS FILED HEREON.

This authority will remain in effect until Southern Livestock Supply Co. Inc. is notified by me (us) in writing to cancel It in such time as to afford Southern Livestock Supply Co. Inc. and The Financial Institution a reasonable opportunity to Act on it.
